By accessing and using ZilLearn’s Service, you acknowledge and agree to comply with and be bound by these Terms and Policies, unless your organization has entered into a separate written agreement with us, in which case those terms and conditions will take precedence over these Terms and Policies. The terms “ZilLearn”, “we“, “us“, and “our” refer to ZilLearn Pte. Ltd. The term “You” or “your” refers to the individual who is accessing and using ZilLearn’s Service pursuant to these Terms and Policies.

1. Modifications of Terms and Policies
ZilLearn reserves the right at any time, in our sole and absolute discretion, to modify our Terms and Policies by posting the changes on our Service. Changes become effective immediately after posting on our Service. For any material changes to these Terms and Policies, we will take reasonable steps to notify you in advance of such changes. In all cases, your continued access and use of the Service after publication of such changes, with or without notification, constitutes binding acceptance by you of these modified Terms and Policies. Notwithstanding the foregoing, no revision to these Terms and Policies will apply to any disputes between you and ZilLearn that arose prior to the date of such revision.

2.User Accounts
2.1. Capacity and Authority
Access and use of the Service are restricted to individuals at least eighteen (18) years of age, or those who possess legal parental or guardian consent, and are fully able and competent to enter into and be bound by these Terms and Policies. By accessing and using the Service, you represent and warrant that (i) if you are an individual accessing the Service on your own behalf, you are at least eighteen (18) years of age, or in possession of consent by a legal parent or guardian and have the authority to enter into and be bound by these Terms and Policies; and (ii) if you are accessing and using the Service on behalf of an organization (such as in the course of your employment), you have authority to act on behalf of such organization to bind the organization to these Terms and Policies.
2.2. User Account Terms
In order to access and use the Service, your Administrator will have to create a personal account (a unique number) for you with your name, a valid mobile phone number or a valid email address and an initial password (“User Account”). If you are loggin in via an email address, upon logging in to your User Account for the first time, you will be prompted to change your password. You may use your mobile phone number, email address or any other methods enabled by your Administrator, such as scanning a QR code, as a means of logging in to your User Account.
You acknowledge and agree that you are solely responsible for maintaining the confidentiality of your User Account, including your password, and for all activities associated with or occurring under your User Account, where applicable. You must notify us immediately on learning of any unauthorized use of your User Account or any other breach of security. We may request some information from you to confirm that you are the owner of your User Account. Subject to these Terms and Policies and to the extent permissible under applicable laws, we cannot and will not be responsible for any loss or damage arising from your failure to comply with the foregoing requirements or as a result of use of your User Account, either with or without your knowledge, prior to you notifying us of unauthorized access to your User Account.
You further acknowledge and agree that you will not divulge or share access or information in respect of your User Account with any third party for any reason. Your User Account is non-transferable and no one else but you may access and use your User Account. In the event that you allow a third party, including a natural person who is a minor, to access and use your User Account (“Unauthorized User“), you represent and warrant that you will be fully responsible and liable for all actions of such Unauthorized User, including the consequences of all actions on the part of the Unauthorized User who breach these Terms and Policies.
You represent and warrant that all information provided by you is accurate, current and complete and that you will maintain and update your information to keep it accurate, current and complete, failing which, we reserve the right at any time, in our sole and absolute discretion, to terminate, suspend or restrict your access and use of the Service.

You may request to delete your User Account by contacting your Administrator.

3.Communications from ZilLearn
By accessing and using the Service, you acknowledge and agree that ZilLearn may communicate with you electronically, by posting a notice on the Service or sending an email to you, regarding security, privacy or administrative issues in respect of your access and use of the Service or these Terms and Policies.
4.Relationships on the Service
As a User on the Service, you acknowledge and agree that no direct licensing relationship is established between you and our affiliates, partners or agents when you access and use the Service. Any such direct licenses will be deemed null and void and a violation of these Terms and Policies.
Instead, it is ZilLearn (and where applicable, the relevant affiliate, partner or agent, via a sublicense granted to ZilLearn) that is providing you with a limited term, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service. Likewise, it is ZilLearn (via a sublicense granted by you) that is providing our affiliates, partners and agents with a limited term, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use your Content in order to provide you with access and use of the Service.
ZilLearn reserves the right to modify or revoke any license granted to you to access and use the Service without prior notice in the event that we determine, in our sole and absolute discretion, that your access and use of the Service is in violation of these Terms and Policies.

You acknowledge and agree to access and use the Service in accordance with these Terms and Policies.

You will connect to the Service using any supported internet browser and be solely responsible for obtaining access to the internet and the equipment necessary to access and use the Service, as well as any associated fees and costs. You acknowledge and agree that under no circumstances will ZilLearn (or any of our affiliates, partners or agents) be held liable for such interruptions or lack of availability of the Service.
We will also not be responsible for delay or failure of our performance in the Service caused by events beyond our reasonable control (including without limitation, wars, hostilities or sabotages, natural disasters, electrical, internet or telecommunication outages and government restrictions)

You acknowledge and agree that ZilLearn (and our affiliates, partners and agents) will not be liable to you for any consequential, indirect, punitive, special or incidental damages, whether foreseeable or unforeseeable, or for any losses or damages arising from claims for defamation, errors, loss of data or interruption of data or personal data breach, loss of revenue, loss of business, whether based on contract, tort, statutory or other law, and whether or not even if ZilLearn (and our affiliates, partners and agents) have been advised or should have been aware of the possibility of such losses or damages, arising out of or relating to (i) any of these Terms and Policies; (ii) your access and use of or inability to access and use the Service; (iii) your reliance on information generated from the Service; (iii) any transaction between you and any advertiser whose advertisement may appear on the Service; (vi) any changes which ZilLearn may make to the Service, or for any permanent or temporary cessation in the provision of the Service (or any features within the Service); or (viii) the deletion of, corruption, or failure to store any information maintained or transmitted through your access and use of the Service. Some jurisdictions do not allow the limitation or exclusion of liability, so some of the limitations may not apply to you.

You acknowledge and agree to indemnify, defend and hold harmless ZilLearn (and our officers, directors, agents, employees and assignees), our affiliates, partners and agents (and their respective officers, directors, agents, employees and assignees) from any and all claims, liabilities, expenses, losses and damages, including reasonable legal costs, made by any third party relating to or arising out of (i) your access and use of the Service in violation of these Terms and Policies; (ii) your access and use of the Service in violation of any law; or (iii) your Content in violation of any copyright, trademark or intellectual property right infringement.
10.Governing Law and Jurisdiction
ZilLearn’s Service is managed by ZilLearn Pte. Ltd., incorporated in Singapore. Both ZilLearn and you acknowledge and agree that any disputes arising out of or relating to these Terms and Policies, whether based on contract, tort, statutory or other law, will be governed by the laws of the Republic of Singapore and that both ZilLearn and you acknowledge and agree to submit to the exclusive jurisdiction of the courts for the Republic of Singapore.

The Service contain, without limitation, applications, software, codes, graphics, images, texts, layouts, arrangements, displays, illustrations, audio clips, video clips, presentation slides, HTML files, hyperlinks and any other materials protected by copyrights or other proprietary rights and laws, owned by ZilLearn (and our affiliates, partners and agents) (collectively, “Proprietary Material“). Any use of such Proprietary Material other than as authorized by ZilLearn (and our affiliates, partners and agents, via a sublicense granted to ZilLearn) is expressly prohibited without the prior written approval of ZilLearn (and where applicable, the relevant affiliate, partner or agent).
The trademarks, service marks, logos, names, likenesses, voices and images (collectively, “Trademarks”) used and displayed on our Service are the registered or unregistered Trademarks of ZilLearn (and our affiliates, partners and agents), and are protected pursuant to Singapore or foreign trademark laws. All rights are reserved and you may not alter or obscure the Trademarks or link to them (in connection with or to transmit any unsolicited communications or emails, or in any other manner) without the prior written approval of ZilLearn (and where applicable, the relevant affiliate, partner or agent).

You acknowledge and agree that you will download from the Service for use within the Service only Proprietary Material which ZilLearn (and where applicable, the relevant affiliate, partner or agent, via a sublicense granted to ZilLearn) has authorized you to download in accordance with these Terms and Policies and only for such use as may be authorized by ZilLearn (and where applicable, the relevant affiliate, partner or agent, via a sublicense granted to ZilLearn). Unless expressly authorized otherwise, you may not use, copy, transmit, translate, transform, transfer, sublicense, reproduce, redistribute, reauthorize, assign, promote, publicly perform, publicly display, modify, adapt, edit, create derivative works, reverse compile, reverse assemble, sell, rent, lend or otherwise commercially exploit create derivative works of, or otherwise commercially exploit any Proprietary Material for use within or outside of the Service.
Your further acknowledge and agree not to use any Proprietary Material in any way that is misleading, disparaging or otherwise detrimental to ZilLearn’s (and our affiliates’, partners’, and agents’) goodwill, including in connection with any obscene, indecent or unlawful content, or indicating or suggesting that ZilLearn (or any of our affiliates, partners or agents) endorses, sponsors or otherwise approves of any of those content.
We reserve the right at any time, in our sole and absolute discretion, to require that you discontinue your use of any Proprietary Material, if it is believed that you are abusing the use of such Proprietary Material.
